3. Our Services
All services provided by Logic Layer Solution are subject to a separate written agreement or statement of work agreed between us and the client prior to commencement. These Terms apply alongside any such agreement.
We reserve the right to decline any project or client engagement at our sole discretion.
4. Intellectual Property
All content on this website — including text, graphics, logos, images, and code — is the intellectual property of Logic Layer Solution or its licensors and is protected by UK and international copyright law.
You may not reproduce, distribute, or create derivative works from our website content without our prior written consent.
Upon full payment for a completed project, intellectual property rights for custom deliverables (such as website code, designs, and written content created specifically for you) will transfer to the client as agreed in the project contract. We retain the right to display completed work in our portfolio unless otherwise agreed in writing.
5. Client Responsibilities
When engaging our services, clients are responsible for:
• Providing accurate, complete, and timely information, content, and materials required for the project.
• Reviewing and approving deliverables within agreed timeframes.
• Ensuring they hold the rights to any third-party content, images, or assets supplied to us.
• Making payments in accordance with the agreed schedule.
Delays caused by a client's failure to meet these responsibilities may result in revised timelines and additional charges.
6. Payment Terms
Payment terms are specified in individual project proposals and contracts. General terms include:
• A deposit (typically 50%) is required before project work begins.
• The remaining balance is due upon project completion and prior to final handover or go-live.
• Invoices are payable within 14 days of issue unless otherwise agreed.
• Late payments may incur interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
All prices are quoted in GBP and are exclusive of VAT unless stated otherwise.

To the fullest extent permitted by law, Logic Layer Solution shall not be liable for:
• Any indirect, incidental, or consequential losses arising from your use of our website or services.
• Loss of profit, revenue, data, or business opportunities.
• Any errors, interruptions, or delays in the operation of our website.
Our total aggregate liability to you in connection with any project or engagement shall not exceed the total fees paid by you for that project.
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any other matter that cannot be excluded under English law.
8. Third-Party Links & Services
Our website may contain links to third-party websites or services. These links are provided for your convenience only. We have no control over the content of those sites and accept no responsibility for them or for any loss or damage that may arise from your use of them.
Projects we deliver may incorporate third-party tools, platforms, or services (e.g. Shopify, WordPress, Google Analytics). Use of these platforms is subject to their own terms and conditions.
9. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of an engagement, and not to disclose such information to third parties without prior written consent — except where required by law.
This obligation survives the termination of any project or agreement.
10. Termination
Either party may terminate a project engagement by providing written notice. In the event of termination:
• You will be invoiced for all work completed up to the termination date, including any third-party costs incurred.
• Any deposit paid is non-refundable unless otherwise agreed in writing.
• We will provide all completed work and files upon receipt of all outstanding payments.
